Terms of Service

1. Agreement to these terms

These Terms of Service (the “Terms”) are a contract between you and Raymond Randall, an individual (“Nikki AI”, “we”, “us”), which operates the website at nikki-ai.app and the Nikki AI companion apps for iOS and Android (together, the “Service”).

By creating an account, or by using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Who can use the Service

You must be at least 13 years old — 16 if you live in the European Economic Area — and old enough to form a binding contract where you live, to use the Service. If you use the Service on behalf of another person, you confirm that you are allowed to accept these Terms for them.

3. Your account

You are responsible for your account and for keeping your password safe. Give accurate information when you sign up, and keep it current. Tell us at support@nikki-ai.app if you think someone else has used your account.

You may close your account at any time from the app’s settings.

4. Subscriptions, billing, and auto-renewal

Parts of the Service need a paid subscription (a “Plan”). When you subscribe on the web, payment is handled by Stripe; on iOS and Android, payment is handled by Apple or Google. We never see or store your full card details.

How your web subscription is handled

Stripe does more than take the payment. It looks after the subscription through its Link service, so some of what you see comes from Stripe rather than from us:

  • Your card or bank statement shows LINK.COM beside our name, not Nikki AI on its own.
  • Stripe sends your receipts and invoices, and some subscription emails such as trial notices. They arrive from Link, not from us.
  • Your price can be shown and charged in your own currency, converted from ours.
  • You can manage or cancel the subscription at link.com as well as in your Nikki settings, and Stripe can answer a question about a payment or issue a refund.

Free trial

Every new account starts with a 14-day free trial of the full Service. We do not ask for a card, and nothing is charged when the trial ends. When it ends you keep your account and everything in it: you can still read your journal entries and review the flashcards you already have. Writing new entries, AI feedback, new flashcards, and lessons beyond the free sample level need a Plan.

Paid Plans

  • Auto-renewal. A Plan renews automatically at the end of each billing period (monthly or annual) at the then-current price, until you cancel.
  • Price changes. We may change Plan prices. We will tell you before a change affects you, and the new price applies only to billing periods after that notice.
  • Taxes. Where sales tax, VAT, or GST applies where you live, it is calculated at checkout. The total you are charged is always shown before you pay.

5. Refunds and cancellations

Cancelling

You can cancel a web subscription at any time from the billing portal in your account settings, or at link.com, where Stripe keeps a record of the purchase. When you cancel, your Plan stays active until the end of the period you have already paid for, and it does not renew after that. Subscriptions bought through Apple or Google are cancelled in your Apple or Google account settings.

7-day money-back on your first charge

If you are not happy with a paid Plan, email us at support@nikki-ai.app within 7 days of your first payment and we will refund that payment in full. You can also ask Stripe through link.com, which can refund a web payment directly. After the first 7 days, payments already made are non-refundable, except where the law requires otherwise — cancelling still stops the next renewal and keeps your access until the period ends.

Your statutory rights (EU / UK and elsewhere)

Nothing here removes any refund or cancellation right the law gives you. If you are a consumer in the EU or UK, you have a statutory right to cancel within 14 days. Because the Service is digital content that starts as soon as you subscribe, you ask us to begin at once and you accept that this right to cancel ends once the Service has begun — but our 7-day money-back offer above still applies.

Purchases through Apple or Google

Refunds for subscriptions bought through the App Store or Google Play are handled by Apple or Google under their own rules, not by us.

6. Acceptable use

When you use the Service, you agree not to:

  • break the law, or use the Service to harm others;
  • copy, scrape, resell, or reverse-engineer the Service or its content;
  • disrupt the Service, probe it for weaknesses, or get around its limits or security;
  • upload content you have no right to, or that is unlawful or abusive.

Messages you send to other learners carry extra rules. See Messages between learners below.

7. Your content

Your journal entries and other writing are yours. To run the Service, you give us a limited licence to store and process that content — including sending it to the AI models that give you feedback — only to provide the Service to you. We explain how this works, and what is and is not shared, in our Privacy Policy.

You can export or delete your content at any time from your settings.

8. Messages between learners

Nikki lets you seal a short piece of writing in a bottle and send it to another learner you have never met, and lets a stranger’s bottle wash up for you. Both of you stay anonymous: the other person sees the pen name you sign, the note you wrote, and the glass you chose — never your real name, your email address, or anything else from your account.

There is no tolerance for objectionable content or abusive behaviour. When you send a bottle, you agree not to include:

  • harassment, threats, hate speech, or anything demeaning a person or a group;
  • sexual content, or anything sexualising a child;
  • content that is unlawful, or that encourages self-harm or harm to others;
  • contact details or personal information — yours or anyone else’s. A bottle goes to a stranger, and the pen name you sign is read by them, so do not put your real name, address, phone number, or social accounts in either;
  • advertising, spam, or anything you do not have the right to share.

Reporting and blocking. Every bottle you receive carries a Report control. Reporting a bottle takes it out of circulation straight away, before anyone reviews it, because a bottle passed onward is seen by everyone downstream. You can also block the sender, which stops any future bottle of theirs reaching you. Blocking is silent and one-way: you never learn who they are, and they are never told. Your blocks are listed in Settings, and you can undo one there.

What we do about reports. A person reviews the reported writing — not an automated system alone — and decides whether it broke these rules. If it did, we apply a warning, then a seven-day suspension from sending, then fourteen days, then a permanent ban, according to what happened before. We may skip straight to a longer sanction for something serious. We keep a record of reports and of any action taken. If we suspend or ban you from this feature, the rest of Nikki keeps working.

What happens to a bottle you send. By sending one, you allow the person who receives it to read it, to keep it, and to display it in their collection. A bottle that is traded stays with them. If you delete your account, the notes you wrote are erased — including any a stranger had kept.

9. AI-generated feedback

The Service uses AI models to generate language feedback and examples. This feedback can be wrong or incomplete, and it is not professional, legal, medical, or financial advice. Use your own judgement, especially for anything important.

10. Our intellectual property

The Service, its software, design, and the “Nikki AI” name and logo are owned by us or our licensors. These Terms do not give you any right to use them beyond using the Service as intended. Some content is used under third-party licences, which we acknowledge on our Credits & sources page.

11. Third-party services

The Service relies on other companies — for example Stripe for payments, Apple and Google for app distribution and in-app purchases, and AI model providers for feedback. Your use of those services is also governed by their own terms.

12. Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent the law allows, we make no warranties about the Service, and we do not promise that it will be uninterrupted, error-free, or that it will meet a particular learning goal. Nothing in this section excludes our liability for loss we cause intentionally or by gross negligence.

13. Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, or consequential losses. Our total liability to you for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim.

These limits apply only where we caused the loss by ordinary negligence. They do not apply at all to loss we cause intentionally, or by gross negligence, or that is caused intentionally or by gross negligence by anyone we use to provide the Service. For that loss, nothing in these Terms limits what we owe you. Nothing here limits liability that cannot be limited by law, including your statutory consumer rights.

14. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or close your account if you break these Terms, or to protect the Service or other users. If we close your account without cause while you have paid for a period, we will refund the unused part of that period.

15. Changes to these terms

We may update these Terms. If a change is significant, we will give you reasonable notice — for example, in the app or by email — before it takes effect. If you keep using the Service after a change, you accept the updated Terms.

16. Governing law

These Terms are governed by the laws of Japan, without regard to conflict-of-law rules. This does not remove any protection the law of your own country gives you as a consumer.
